Terms and Conditions
These are the Terms and Conditions between Spherical Images Ltd (SPHERICAL IMAGES) and their customers (hereinafter referred to as 'the customer'). It is hereby agreed between the parties that:
1)
All
media content produced by SPHERICAL IMAGES remains the copyright and
property of Spherical Images at all times.
2)
Hosting
charges to be paid in advance, and services will be suspended in case of
negative account balance after 30 days of late payment.
3)
Re-recording or re-photography of media content is priced at full cost,
unless due to the negligence of Spherical Images.
4)
The
set-up fee will be charged if the shoot is cancelled on site due to a
mistake on the customers side (e.g. you forget the keys to the venue
being photographed!) or poor weather conditions.
5)
For
external shots the client can request the option of two potential shoot
dates. One of these dates may be cancelled with 48hrs prior notice
without incurring a set-up fee. If two dates are cancelled an additional
set-up fee will be charged.
6)
Web
design and management services are priced hourly at the rate on the
contract if required.
7)
Hosting
under this contract is for a 36 month period and auto-renews for a
further 36mth period (unless cancelled by 3mths prior written notice)
each and every time the period expires.
Price changes are to be notified in writing prior to this date,
should any change be necessary.
8)
Hosting
is billed monthly in advance, however a 10% discount is offered for
annual, upfront, payments.
9)
The customer agrees
to allow SPHERICAL IMAGES to use their name and details of their order
for marketing purposes.
10)
SPHERICAL IMAGES
hosting enjoys 99% up time of tour servers.
11)
The customer agrees
to allow brands and trademarks it owns to be used by SPHERICAL IMAGES in
marketing materials, adverts, websites, etc. for the purposes of
promoting the customer’s business, or as a customer reference for
SPHERICAL IMAGES.
12)
The customer agrees
to immediately supply SPHERICAL IMAGES's details on request to any
customer, whether for reasons of complaint, sales enquiry or otherwise.
13)
Interest on unpaid
amounts under this contract is to be charged at 3% per month above
LIBOR.
14)
This agreement is
complete and binding when signed by both a director of SPHERICAL IMAGES
and the customer.
15)
This agreement is
construed under English law.
16)
This agreement binds
and benefits both parties, their successors and assigns.
